Terms of Service
Last Updated: [March 15th, 2026]
These Terms of Service (the "Terms") govern your access to and use of the HashKey Master Account payment request and transaction status notification service (the "Service") operated by [HashKey Master Account] (together with its affiliates, "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
Definitions
- "Merchant" means a business user that uses the Service to configure and display payment instructions to request payment from a payer.
- "Payer" means an end user who initiates a blockchain transaction to pay a Merchant.
- "Payment Request" means the payment instructions displayed via the Service, including (as applicable) amount, asset, chain/network, and a Merchant-provided recipient address.
- "Status Notification" means any transaction status information displayed or communicated by the Service based on on-chain public data and/or third-party infrastructure (e.g., confirmation count, pending/confirmed labels, timestamps).
- "Digital Assets" means cryptographic tokens or other digital representations of value that may be transferred on a blockchain network.
- "Third-Party Services" means any services not provided by us, including wallet providers, blockchain networks, RPC/node providers, explorers, cloud infrastructure providers, and telecommunications services.
Scope of the Service
- The Service provides technical tools and information services that may include: (a) displaying or relaying a recipient address for a Payment Request, where such address is provided, generated, and controlled solely by the Merchant;; (b) presenting payment instructions (e.g., QR code, deep link, or formatted request data) for the Payer to use in their own wallet; and (c) displaying or communicating Status Notifications.
For clarity, we does not generate, assign, derive, or control any recipient address, and does not participate in the creation or management of any wallet or account.
- We does not custody, hold, store, receive, control, or transfer any Digital Assets on your behalf. We does not control any private keys, seed phrases, or wallet credentials. We does not initiate, sign, broadcast, or execute blockchain transactions for you. Any blockchain transaction is initiated by the Payer using their own wallet and is subject to the rules and finality of the relevant blockchain network.
- Unless expressly agreed in writing, we does not provide exchange, swap, conversion, routing, aggregation, brokerage, dealing, settlement, or market-making services, and does not provide investment, legal, tax, or financial advice.
- The Service is not an escrow service and we does not act as a payment intermediary collecting funds for Merchants or Payers.
Eligibility and Account
- You must be legally capable of entering into binding contracts and comply with applicable laws to use the Service.
- Merchants may be required to create an account, obtain API credentials, and configure Service settings. You are responsible for maintaining the confidentiality of credentials and for all activity under your account. Merchants’ access to the Service (including API credentials and production use) may be subject to an active paid subscription or other fee arrangement with us. We may decline onboarding, suspend, or terminate a Merchant’s access for non-payment or failure to maintain an active paid plan, subject to applicable law and any Order Form.
- Payers may use the checkout interface without an account. Payers remain responsible for their wallet and transaction execution.
Transaction Status
- Status Notifications are generated automatically and may rely on public blockchain data and/or Third-Party Services. They may be delayed, incomplete, inaccurate, or inconsistent due to congestion, reorgs, forks, network conditions, node delays, explorer/RPC discrepancies, or outages.
- Any "confirmed," "completed," "successful," or similar status displayed by the Service does not constitute our confirmation or guarantee that the Merchant has received funds, that settlement is final, or that an obligation is satisfied. Merchants must rely on their own wallet records and internal reconciliation.
- Blockchain transactions may be irreversible. We are not responsible for reversals, reorgs, forks, double-spends, or other network-level events.
- You acknowledge and agree that blockchain networks and Digital Asset transactions involve inherent risks, including but not limited to network congestion, latency, forks, reorgs, protocol changes, validator or miner behavior, smart contract vulnerabilities, and third-party service failures. You assume all risks arising from your use of the Service and from any blockchain transaction initiated by you or on your behalf. To the maximum extent permitted by applicable law, we shall not be liable for any loss, damage, or claim arising out of or in connection with such risks, except to the extent directly caused by our willful misconduct or gross negligence.
Fees
- The Service is offered to Merchants on a paid basis. Fees, billing frequency, and any applicable pricing terms will be set out in an order form, subscription plan, or other written agreement between us and the Merchant ("Fees"). Unless otherwise agreed in writing, Merchants must pay all Fees when due in order to access and use the Service. We may update its pricing from time to time upon prior notice, where permitted by applicable law, and such changes will apply prospectively. Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. The Merchant is responsible for all applicable taxes, except for taxes based on our income. If any undisputed amount is past due, we may (a) suspend or limit the Merchant’s access to the Service (including API access and Status Notifications) until payment is received, and/or (b) charge late fees or interest to the maximum extent permitted by law, in addition to reasonable collection costs.
- Certain blockchain transactions initiated by Payers may require the payment of network fees (including gas fees) imposed by the relevant blockchain network ("Network Fees"). Network Fees are determined solely by third-party blockchain networks and are payable to network participants (e.g., validators or miners), and are not charges levied by us.
- For operational convenience only, we may, at its discretion, advance or prepay Network Fees on behalf of a Merchant. Any such advance does not constitute custody, settlement, financing, credit, or payment intermediation services. Where we advance or prepay Network Fees, the applicable Merchant shall reimburse us in accordance with the agreed settlement cycle. The Merchant remains solely responsible for all Network Fees incurred in connection with its use of the Service, regardless of whether such fees are advanced by us. We may provide reasonable records or summaries of Network Fees for reconciliation purposes.
- You acknowledge and agree that blockchain networks involve inherent risks and that all losses, costs, or damages arising from or relating to network-level conditions — including but not limited to congestion, latency, gas price volatility, transaction failure, delayed confirmation, reorganization (reorg), forks, protocol changes, or validator or miner behavior — shall be borne solely by the user initiating or receiving the transaction. To the maximum extent permitted by applicable law, we shall not be liable for any loss of Network Fees or other losses resulting from such network-level events or blockchain protocol behavior, except to the extent directly caused by our willful misconduct or gross negligence.
Merchant Obligations
- The Merchant acknowledges and agrees that it is solely responsible for:
- providing and maintaining accurate payment information, including recipient addresses;
- verifying receipt of Digital Assets through its own wallet records and internal reconciliation, regardless of any Status Notifications provided by the Service;
- all transactions initiated by Payers in connection with the Merchant’s goods or services, including any errors, failed transactions, delayed confirmations, or Network Fees incurred;
- fulfillment of goods or services, customer support, refunds, disputes, chargebacks (if any), and compliance with applicable consumer protection, tax, and regulatory requirements; and
- ensuring that its use of the Service and related activities are lawful in all applicable jurisdictions.
- the accuracy, validity, chain compatibility, and ongoing control of any Merchant-provided recipient address, and for any consequences of errors, misdirection, or loss of funds.
We have no obligation to verify address ownership/control or to detect incorrect or malicious address substitutions. We do not guarantee payment completion, settlement finality, or receipt of funds and shall not be responsible for the Merchant’s business outcomes or contractual relationships with its customers.
- The Merchant must not use the Service for:
- unlawful goods/services, fraud, money laundering, terrorism financing, or sanctions violations;
- gambling or other prohibited industries where unlawful;
- offering or selling securities/derivatives or other regulated products without required authorizations;
- infringing intellectual property or privacy rights; or
- any activity that materially increases risk to us or the ecosystem.
We may suspend or terminate access based on compliance or risk assessment.
- Merchants must ensure that any recipient address displayed is correct, chain-compatible, and controlled by the Merchant. We are not responsible for Merchant configuration errors.
Payer Obligations
- Payers acknowledge and agree that you are solely responsible for your use of the Service and for any blockchain transactions initiated by you, including without limitation:
- maintaining the security and control of your wallet, private keys, seed phrases, devices, and credentials;
- verifying the accuracy of all transaction details, including recipient addresses, blockchain networks, amounts, and applicable network fees;
- initiating, authorizing, and broadcasting transactions using your own wallet and bearing all consequences thereof, including failed, delayed, or irreversible transactions;
- understanding that any Status Notifications provided by the Service are informational only and do not constitute confirmation, settlement, or guarantee of receipt of funds; and
- complying with all applicable laws, regulations, and tax obligations in connection with your use of the Service.
We do not assume responsibility for any loss arising from your wallet usage, transaction decisions, network conditions, or reliance on blockchain protocols or third-party services.
- We do not process refunds. Any refund is solely between Payer and Merchant.
- Payers are not charged service fees by us for using the checkout interface. Any network fees are imposed by the relevant blockchain network and are not charges levied by us.
Compliance, AML/CFT, and Sanctions
- You represent that you are not located in, organized under, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, and are not a sanctioned person. You will not use the Service in violation of applicable AML/CFT or sanctions laws.
- We may request information relating to a Merchant’s business profile, control/ownership, and wallet attribution, to the extent reasonably necessary for compliance and risk management.
- We may implement reasonable compliance and risk controls (including screening of wallet addresses or identifiers, where appropriate) and may request information from Merchants to support compliance assessments. We may refuse, restrict, or terminate the Service where required by law or based on reasonable risk determination.
Intellectual Property
- All rights, title, and interest in and to the Service, including without limitation all software, source code, object code, APIs, protocols, technical architecture, algorithms, models, tools, interfaces, workflows, designs, documentation, and any related updates, enhancements, or derivative works (collectively, the "HashKey Master Account IP"), are and shall remain the exclusive property of us or its licensors.
- Nothing in these Terms transfers or assigns to you any ownership interest in our IP. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for its intended purpose and in accordance with these Terms.
- You shall not, and shall not permit any third party to: (a) copy, modify, adapt, translate, or create derivative works of the Service or any HashKey Master Account IP; (b) reverse engineer, decompile, disassemble, or otherwise attempt to extract source code or underlying ideas or algorithms; (c) remove, obscure, or alter any proprietary notices; (d) use the Service or HashKey Merchant IP to develop or offer competing products or services; or (e) use the Service or HashKey Merchant IP in any manner not expressly permitted under these Terms.
- Any feedback, suggestions, or improvements you provide regarding the Service may be used by us without restriction or obligation to you, and you hereby grant us a perpetual, irrevocable, royalty-free, worldwide license to use such feedback for any purpose.
- All rights not expressly granted to you under these Terms are reserved by us.
Privacy
Your use of the Service is subject to our Privacy Policy at [URL]. Merchants represent that they have provided necessary notices and obtained consents required to provide any personal data to us.
Termination
- We may suspend access immediately if: (a) you breach these Terms; (b) required by law; (c) we reasonably suspect fraud, sanctions issues, or security risks; or (d) continued provision is not commercially or operationally feasible.
- Either party may terminate Merchant access upon 30 days’ notice. We may terminate immediately for material breach or compliance risk.
- Upon termination, your license ends. Sections intended to survive (including IP, disclaimers, limitation of liability, and dispute resolution) survive.
Disclaimers
- To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.
- Without limiting the foregoing, We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or available at all times; that Status Notifications will be provided in real time or without delay; or that the Service will identify, prevent, or eliminate all errors, malicious activity, security incidents, or fraudulent conduct. Status Notifications and any labels such as "confirmed," "completed," or similar are provided for informational purposes only and do not constitute confirmation, settlement, or a guarantee that a Merchant has received funds or that any obligation has been satisfied.
- We do not custody, hold, store, receive, control, or transfer Digital Assets on behalf of any user, does not control private keys or wallets, and does not initiate, sign, broadcast, execute, or reverse blockchain transactions. We are not an escrow service and do not act as a payment intermediary collecting funds for Merchants or Payers.
- We are not responsible for, and makes no representations or warranties regarding, any Third-Party Services or blockchain networks, including without limitation any outages, vulnerabilities, congestion, latency, reorganization (reorg), forks, protocol changes, validator or miner behavior, or transaction failures. Blockchain transactions may be irreversible, and users assume all risks associated with blockchain networks, including the risk of loss of Network Fees due to network conditions or failed transactions.
- We do not receive or transmit funds for the benefit of any user, and any value transfer occurs solely on the relevant blockchain network between user-controlled wallets.
- To the maximum extent permitted by applicable law, we shall not be liable for any loss or damage arising out of or in connection with the foregoing matters, except to the extent directly caused by our willful misconduct or gross negligence.
Limitation of Liability
- To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms and the Service will not exceed:
- for Merchants, the total Fees actually paid to us by the Merchant for the Service giving rise to the claim during the 3 months immediately preceding the event giving rise to the claim; and
- for Payers who have not paid any Fees to us, USD 100 ( or equivalent),
in each case, whichever is lower. For the avoidance of doubt, any reimbursement of Network Fees is not a service fee and shall not be treated as Fees paid for purposes of the limitation of liability.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR SIMILAR DAMAGES, OR FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY.
- WITHOUT LIMITING THE FOREGOING, WE WILL NOT BE LIABLE FOR: (A) USER ERROR (WRONG CHAIN/ADDRESS/AMOUNT); (B) IRREVERSIBLE TRANSACTIONS; (C) NETWORK CONGESTION, FORKS, REORGS, CONSENSUS FAILURE; (D) WALLET COMPROMISE; (E) THIRD-PARTY SERVICE OUTAGES; OR (F) MERCHANT GOODS/SERVICES DISPUTES AND REFUND ISSUES.
- Nothing in these Terms excludes liability that cannot be excluded under applicable law.
Indemnification
- Merchants will indemnify, defend, and hold harmless us and our affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) the Merchant’s goods/services, marketing, and transactions; (b) Merchant breach of these Terms or any Merchant Policies; (c) violation of law or third-party rights (including AML/CFT and sanctions); (d) disputes with Payers; or (e) the Merchant’s payment instructions, wallet configurations, address management, reconciliation, or any reliance on Status Notifications.
- Payers will indemnify, defend, and hold harmless us and our affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) the Payer’s breach of these Terms or unlawful use of the Service; (b) any transaction initiated by the Payer (including errors in network/token/address/memo/tag), use of stolen or unauthorized funds, or failure to satisfy obligations to a Merchant; or (c) violation of law or third-party rights (including AML/CFT and sanctions).
- We will provide the indemnifying party with prompt written notice of any claim (to the extent practicable), provided that failure to give prompt notice will not relieve the indemnifying party of its obligations except to the extent materially prejudiced. We may, at its option, participate in the defense with counsel of its choosing at the indemnifying party’s expense.
- The indemnifying party may control the defense and settlement of a claim only if it (a) promptly assumes defense, (b) uses counsel reasonably acceptable to us, and (c) does not settle any claim in a manner that imposes any admission of fault, non-monetary obligation, restriction, or liability on us without our prior written consent.
- This Indemnification section survives termination of these Terms.
Governing Law; Dispute Resolution
- These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law rules.
- Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration administered by HKIAC in Hong Kong, under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration is Hong Kong. The language of arbitration is English.
- Nothing prevents either party from seeking urgent injunctive relief in any competent court.

- These Terms, together with any order forms and the Privacy Policy, constitute the entire agreement and supersede prior communications.
- We may update these Terms from time to time. Material changes will be notified via the website or email (for Merchants). Continued use after the effective date constitutes acceptance.
